A common company-secretarial question is whether filing the Annual Return means the company’s financial statements have also been submitted. Under Malaysia’s Companies Act 2016, these are separate obligations with different dates.

For a director running a Malaysian Sdn. Bhd., tracking both calendars is essential.

1. Annual Return: based on incorporation anniversary

SSM states that a local company generally lodges its Annual Return within 30 days from the anniversary of its incorporation date, subject to the applicable rules. The Annual Return summarises corporate particulars such as the registered office, directors, company secretaries, business activities and shareholding information.

For example, a company incorporated in February does not automatically file its Annual Return according to its December financial year-end. Its Annual Return calendar is tied to the incorporation anniversary.

2. Financial statements: based on the financial year

Financial statements are prepared for an accounting period. For private companies, the general circulation requirement is within six months of the financial year end, with lodgement of the financial statements to SSM generally required within 30 days after circulation to members.

The first financial statements and any approved extension of time can require separate consideration. The company should agree a clear timetable with its accountants and company secretary, rather than waiting until the final month.

3. Audit exemption does not remove every filing obligation

Where a private company meets SSM’s audit exemption criteria, it may be able to lodge non-audited financial statements in the applicable form. It is still responsible for preparing appropriate accounts and meeting filing requirements.

See Malaysia’s 2026 Audit Exemption Guide for the current phase-two thresholds and the need to check eligibility.

4. Corporate tax is on another calendar

The financial statement filing timetable should not be confused with corporate tax obligations. HASiL states that a company generally submits its Form C / e-C within seven months after its accounting period closes. Estimated-tax submissions and instalments can have separate due dates.

Regulated tax-agent work, where required, should be handled by appropriately qualified professionals. Tan Accounting Advisory can assist with accounting records and coordination within the agreed scope.

5. Information to organise before year-end

  • Financial year-end date and bank statements.
  • Monthly bookkeeping ledger, sales and purchases.
  • Loan, lease and fixed-asset information.
  • Directors’ and shareholders’ changes during the year.
  • Registered office or business address changes.
  • Beneficial ownership information and relevant supporting records.
  • Previous year’s financial statements and tax filings.

A well-maintained monthly bookkeeping process helps the accounts close earlier and reduces last-minute requests for missing documents.
