Foreign ownership and local management are separate questions. Before paying for incorporation, understand who owns the shares, who controls the company and who is accountable as director.

Share ownership is not the same as a director appointment

An overseas founder can be a shareholder without automatically qualifying to be the Malaysia-resident director. A private company needs at least one director ordinarily resident in Malaysia; sector-specific foreign ownership or licensing rules may still apply.

A director has real duties

Directors must consider company records, filings, financial decisions and conflicts of interest. A director should not accept an appointment merely because someone promises a monthly allowance. Roles, access to information and decision-making authority should be documented.

Map ultimate ownership and control

Prepare a simple chart showing individuals, corporate shareholders, percentages and decision rights. SSM beneficial-ownership reporting may require information beyond the name listed on the share register. Layered overseas structures deserve early review.

Consider operating substance and banking

Banks may ask where management decisions occur, why Malaysia is chosen, the source of funds and expected transaction flows. A workable company arrangement must stand up to day-to-day accounting, tax and banking checks—not just registration.

Practical example

An overseas founder may own all the shares in a permitted sector yet still need an eligible Malaysia-resident director. Ownership control, director duties and bank authority should be recorded separately.

Your practical checklist

  • Create a shareholder and ultimate-owner chart
  • Confirm each director’s eligibility and responsibilities
  • Check whether the activity has foreign-equity restrictions
  • Prepare evidence of business purpose and funding

Frequently asked question

Can a resident director be appointed only to sign documents?

A director has real statutory and governance duties. The appointment should not be treated as a risk-free formality.
