Illustrative professional business documentation scene

When a Malaysian company has an overseas parent or multiple shareholder layers, the name in the share register may not tell the whole story. A clear ownership map helps prevent inconsistent compliance records.

Identify people, not only holding-company names

Start from direct shareholders, then trace through each overseas company to the individuals who ultimately own or control the structure. SSM BO criteria involve ownership and other forms of control.

Check rights and influence

Share percentages matter, but they may not be the only factor. Voting arrangements, appointment powers or dominant influence can be relevant. Do not assume that a particular percentage always settles the conclusion.

Prepare evidence for each layer

Keep shareholder registers, company extracts, organisation charts, declarations and appropriate supporting documents. Overseas records may require translation or verification depending on the transaction.

Set an update process

A new investor, change in voting rights or company reorganisation can make the previous BO record outdated. Coordinate changes promptly with the company secretary and the applicable e-BOS reporting process.

Practical example

If a Malaysian company is owned by a Singapore holding company, which is in turn owned by several individuals, the BO review may need to look through that holding company and the actual control rights.

Your practical checklist

  • Create a chart from direct owners to individuals
  • Document voting, appointment and control rights
  • Retain company extracts and relevant declarations
  • Notify the secretary whenever ownership or control changes

Frequently asked question

Is the name on the share register always the beneficial owner?

Not necessarily. Beneficial ownership rules can require identifying the natural persons who ultimately own or control the company.

General information only. Requirements depend on your circumstances and may change. Regulated tax-agent, audit, legal or liquidation work is handled by appropriately qualified professionals.
